Terms of Service
These Terms of Service ("Terms") govern your access to and use of the WholesaleHawk platform operated by WholesaleHawk, Inc. ("WholesaleHawk", "we", "us", or "our"). By accessing or using the platform, you agree to be bound by these Terms.
1. Eligibility and Access
The WholesaleHawk platform is an employee-exclusive storefront. Access is granted only to individuals whose work email domain is registered under an active enterprise account with WholesaleHawk. You may not share your access credentials or allow others to use your account. We reserve the right to suspend or terminate access at any time for violation of these Terms or at the request of your employer.
2. Account and Authentication
Access to the storefront is authenticated via a one-time passcode (OTP) sent to your verified work email address. You are responsible for keeping your email account secure. WholesaleHawk is not liable for unauthorized access resulting from a compromised email account. You must notify us immediately if you suspect unauthorized use of your account.
3. Orders and Purchases
When you place an order through the platform:
- You represent that all information provided (including shipping address) is accurate and current.
- Orders are subject to product availability and brand fulfillment capacity.
- Prices displayed are in US dollars. Applicable sales tax is calculated at checkout based on your shipping address.
- Payment is processed securely by Stripe, Inc. By completing a purchase, you agree to Stripe's terms of service.
- WholesaleHawk does not store your payment card information.
4. Fulfillment and Shipping
Orders are fulfilled directly by brand partners. Estimated shipping times are provided by the brand and are not guaranteed. WholesaleHawk is not responsible for delays caused by carriers, customs, or circumstances beyond our control. Risk of loss and title for items pass to you upon delivery to the carrier.
5. Returns and Refunds
Return and refund eligibility is determined by the fulfilling brand's own policies. Please contact us via our contact page if you experience an issue with an order. WholesaleHawk will act as a liaison with the brand partner on your behalf where possible.
6. Prohibited Conduct
You agree not to:
- Use the platform for any commercial resale or redistribution of products.
- Attempt to access accounts, systems, or data you are not authorized to access.
- Submit false or misleading information in any form on the platform.
- Interfere with or disrupt the integrity or performance of the platform or its services.
- Use automated tools (bots, scrapers) to interact with the platform without express written consent.
7. Intellectual Property
All content on the WholesaleHawk platform — including text, logos, graphics, and software — is the property of WholesaleHawk, Inc. or its licensors and is protected by applicable intellectual property laws. Product images and brand assets remain the property of their respective brand owners. You may not reproduce, distribute, or create derivative works without prior written permission.
8. Disclaimer of Warranties
The platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. WholesaleHawk does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law, WholesaleHawk, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or related to your use of the platform, even if advised of the possibility of such damages. Our total liability for any claim arising under these Terms shall not exceed the amount you paid for the order giving rise to the claim.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and notify enterprise administrators. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.
